These terms are provided as a starting draft for an MVP and have not been reviewed by counsel. Before launching to real users, have a Nevada-licensed attorney experienced in UPL and consumer-software regulation review and finalize this agreement.

1. The service

Draft a Deal ("we," "us") provides a self-service software tool that helps you, the user, prepare a Nevada residential purchase agreement and related documents using the answers you provide. The service includes the guided wizard, AI explainer, property-data lookups, payment processing, and PDF delivery.

2. Not a law firm; no legal advice

We are not a law firm and do not provide legal advice. Our software does not select clauses, terms, contingencies, or negotiating strategy on your behalf. Information presented by the wizard or AI explainer is general educational information, not legal advice for your situation. Your use of the service does not create an attorney-client relationship.

3. Two paths

  1. Documents-only. You are representing yourself in your real estate transaction. We hand you the filled PDF; you take it from there.
  2. Represented. A separate, Nevada-licensed real estate brokerage agrees to represent you under a written brokerage agreement and the standard Nevada agency disclosures. The brokerage relationship is governed by NRS 645 and the brokerage agreement, not these terms.

4. Property data

Property data shown in the wizard is retrieved from the Clark County Assessor's public GIS service. We do not warrant the accuracy or completeness of that data. You are responsible for verifying everything against the official record before signing.

5. Fees and refunds

The wizard is free to use. You pay only when you choose to download the PDF (Documents-only) or engage representation (Represented). Documents-only purchases are non-refundable once the PDF is generated. Represented engagements may be terminated under the terms of the brokerage agreement you sign.

6. Account and security

You are responsible for safeguarding the email address you sign in with. Magic-link sign-in tokens expire and may be used once. Notify us if you suspect unauthorized access.

7. Acceptable use

You may use the service only for lawful preparation of your own real estate offers. You may not resell, scrape, reverse-engineer, or use the service to prepare offers for third parties (which would constitute the unauthorized practice of law and/or unlicensed real estate activity).

8. Disclaimer of warranties

The service is provided "as is" without warranty of any kind. We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of your use of the service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

10. Governing law and venue

These terms are governed by the laws of the State of Nevada. The exclusive venue for any dispute is the state and federal courts located in Clark County, Nevada.

11. Changes

We may update these terms from time to time. Material changes will be announced via email to your account address. Continued use of the service after a change constitutes acceptance.
